Navigrader Terms of Service
Welcome to Navigrader ("Navigrader," "Service," "Platform," "we," "us," or "our").
These Terms of Service ("Terms") govern your access to and use of the Navigrader website, applications, hosted services, and related features.
By creating an account, selecting a subscription plan, checking acceptance boxes, completing checkout, accessing the Platform, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and the Navigrader Privacy Policy.
If you do not agree to these Terms, do not use the Service.
1. Description of the Service
Navigrader is a hosted software-as-a-service ("SaaS") platform designed to assist homeschool families, microschools, co-ops, educators, and learning groups with educational administration and recordkeeping.
Features may include:
- Student record management
- Attendance tracking
- Grade and assessment tracking
- Curriculum planning
- Scheduling and calendar management
- Instructional-hour and instructional-day tracking
- Reporting and transcript generation
- Dashboard analytics and compliance indicators
- User and role management
- Hosted tenant workspaces
The Service is intended as an administrative and organizational tool only.
2. Eligibility
You must be at least eighteen (18) years old and legally capable of entering into binding agreements to use the Service.
If you use the Service on behalf of a homeschool organization, microschool, co-op, or other entity, you represent that you have authority to bind that entity to these Terms.
3. Account Registration and Security
To access certain features, you may be required to create an account. You agree to:
- Provide accurate and complete information
- Maintain current account information
- Keep your login credentials secure
- Restrict unauthorized access to your account
- Notify us promptly of suspected unauthorized use
You are responsible for all activity occurring under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or create security, operational, or legal risks.
4. Subscription, Billing, and Renewals
Certain portions of the Service require a paid subscription.
Unless otherwise stated, subscriptions automatically renew at the end of each billing cycle until canceled.
By subscribing, you authorize recurring billing using your selected payment method.
You may cancel your subscription at any time through your account settings or by contacting support.
Except where required by law, subscription fees are non-refundable.
Payments are processed through third-party payment providers, including Stripe.
5. Customer Data
You retain ownership of all Customer Data submitted to the Service.
You grant Navigrader a limited right to host, process, transmit, store, back up, display, and otherwise use Customer Data solely as necessary to operate the Service.
You are solely responsible for:
- Accuracy of Customer Data
- Compliance with applicable homeschool or educational requirements
- Maintaining independent backups if desired
- Verifying generated reports and records before relying upon them
6. Children and Student Information
The Service is intended for use by parents, guardians, educators, administrators, and authorized educational representatives.
The Service is not intended for direct, unsupervised use by children.
You are solely responsible for obtaining any required parental or legal consents and ensuring lawful handling of educational and student information.
7. Educational and Compliance Disclaimer
Navigrader is an administrative and organizational platform only.
We do not provide legal advice, educational accreditation, state certification, regulatory approval, or compliance guarantees.
Homeschool laws and educational requirements vary by jurisdiction and may change over time.
You remain solely responsible for understanding and complying with all applicable laws and educational requirements.
8. Acceptable Use
You agree not to:
- Use the Service for unlawful purposes
- Attempt unauthorized access to systems or data
- Circumvent security or authentication controls
- Upload malware or harmful code
- Reverse engineer or attempt to extract source code
- Interfere with Service availability or operation
- Use automated scraping tools or unauthorized bots
- Store or transmit unlawful or infringing material
- Resell or sublicense the Service without authorization
We reserve the right to investigate suspected misuse and suspend or terminate accounts engaged in prohibited activity.
9. User Roles and Permissions
Administrators are solely responsible for assigning permissions, managing user access, and ensuring users only access authorized information.
10. Service Availability and Changes
We may modify or discontinue features, release updates, perform maintenance, or temporarily suspend portions of the Service.
We do not guarantee uninterrupted or error-free availability.
11. Third-Party Services
The Service may integrate with third-party providers.
We are not responsible for third-party outages, failures, security incidents, or policies.
12. Intellectual Property
The Service and all related software, interfaces, workflows, branding, graphics, documentation, reports, designs, and technology are protected by intellectual property laws.
Except for the limited rights expressly granted under these Terms, no rights are transferred to you.
13. Feedback
If you provide feedback or suggestions regarding the Service, you grant Navigrader a perpetual, worldwide, royalty-free right to use and incorporate such feedback.
14. Privacy
Your use of the Service is also governed by the Navigrader Privacy Policy.
15. Data Retention and Deletion
Following cancellation or termination of your subscription:
- Access to the Service may be disabled
- Customer Data may remain temporarily accessible for export or recovery purposes
- Customer Data may be retained for up to ninety (90) days before deletion, unless longer retention is legally required
16. Suspension and Termination
We may suspend or terminate access to the Service if you violate these Terms, fail to satisfy payment obligations, or create legal, operational, or security risks.
17. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAVIGRADER SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO NAVIGRADER DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
19. Indemnification
You agree to defend, indemnify, and hold harmless Navigrader from claims arising from your use of the Service or violation of these Terms.
20. Arbitration and Class Action Waiver
Except where prohibited by law, disputes arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration conducted in Kentucky.
You waive any right to participate in class actions, class arbitrations, or representative proceedings.
21. Governing Law
These Terms shall be governed by the laws of the Commonwealth of Kentucky.
22. Changes to These Terms
We may update these Terms from time to time.
Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
23. Entire Agreement
These Terms, together with the Privacy Policy and any applicable subscription terms, constitute the entire agreement regarding the Service.
24. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
